What is pro rata rights?

Pro rata rights let an existing investor buy into future rounds to maintain their ownership percentage, so they are not diluted.

They are a right, not an obligation. Founders should track pro rata commitments because they reduce how much of a later round is available to new investors.

General information, not legal, tax or investment advice.
